Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Kinstek Tech Agency ("we," "us" or "our"), concerning your access to and use of our website as well as any other media form, related services, or software development contracts.

2. Services and Scope of Work

Kinstek provides Full-Stack Development, Cybersecurity, Data Analytics, and AI Solutions. The specific scope, deliverables, and timeline for your project will be outlined in a separate Statement of Work (SOW) or Project Brief before any development begins. Any requests outside the agreed-upon scope will be subject to additional billing.

3. Payment Terms

Unless otherwise specified in a custom contract, our standard payment terms are as follows:

• Deposit: A 50% upfront deposit is required before the Build Phase commences.
• Delivery: The remaining 50% balance is due upon project completion and handover.
• AI API Costs: Projects involving AI integration (e.g., Claude API, Voice Receptionists) may incur a monthly API subscription fee billed after delivery, as outlined in our Pricing list.
• Rush Delivery: Timelines expedited by 50% will incur a 30% premium surcharge.

4. Intellectual Property Rights

Upon final payment, all intellectual property rights for custom code, designs, and deliverables created specifically for your project will be transferred to you. Kinstek retains the right to use non-confidential snippets, open-source libraries, and general architectural patterns in future projects, as well as the right to display the completed work in our agency portfolio (unless bound by a specific NDA).

5. Governing Law

These Terms shall be governed by and defined following the laws of Nigeria. Kinstek Tech Agency and yourself irrevocably consent that the courts of Lagos, Nigeria shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
